Terms and Conditions

The terms that apply when you use this website or buy services from us.

Last updated: 9 November 2026

1. About us and these terms

Vantorel LTD is a private limited company registered in Scotland under company number SC908006. Our registered office is 13 Kirkbrae, Galashiels, Scottish Borders, Scotland, TD1 1NQ.

You can contact us at hello@vantorel.org. These terms apply to your use of this website and to services we agree to provide. A business customer is anyone acting for purposes relating to their trade, business, craft or profession. A consumer is an individual acting wholly or mainly outside those purposes. Some independent authors may be consumers, and we identify where the terms differ.

2. Using this website

You may use this website for lawful purposes and in line with our Acceptable Use Policy. We try to keep it accurate and available, but we may change or suspend it at any time. Links to other websites are provided for convenience, and we are not responsible for their content.

3. Website content is not an offer

Service descriptions and prices on this website are an invitation to talk to us, not a contractual offer. Prices are indicative starting points. Portfolio entries and case studies marked as representative illustrate the type of work we take on. They are not records of specific client projects, and their figures are targets rather than promised or achieved results. See our Disclaimer.

4. How an engagement is formed

A contract begins when both parties accept a written proposal or statement of work (a Proposal). The Proposal sets out the scope, deliverables, timetable, fees and payment schedule. If a Proposal conflicts with these terms, the Proposal takes priority. Changes to scope must be agreed in writing and may affect price and timing.

5. Fees, VAT and payment

  • The Proposal states the fees and the currency.
  • Prices quoted to business customers exclude VAT, which we add where it applies. Prices quoted to consumers include any VAT payable.
  • Unless the Proposal says otherwise, invoices are payable within 14 days.
  • Advertising spend, retailer and platform fees, software licences and other third-party costs are charged separately unless the Proposal includes them.
  • If a business customer pays late, we may charge interest under the Late Payment of Commercial Debts (Interest) Act 1998 and may suspend work after giving written notice.

6. What we need from you

You agree to provide accurate information, timely decisions and the access we reasonably need. You confirm that you have the right to give us any material you supply, and that its use as agreed will not infringe anyone’s rights or break the law. Delays in providing these may move the timetable and affect fees.

7. Intellectual property

  • Once the related invoice has been paid in full, we assign to you all intellectual property rights in bespoke deliverables created specifically for you.
  • We keep ownership of our pre-existing tools, methods and general know-how. Where these form part of a deliverable, you receive a perpetual, non-exclusive licence to use them as part of that deliverable.
  • Open-source software and third-party materials remain subject to their own licences, which we will identify on request.
  • We will only name you or show your work in our marketing with your written permission.

8. Terms for specific services

Software, platforms and integrations

This covers mobile, web, backend and custom software, APIs, CRM and CMS work. Unless the Proposal says otherwise, we correct defects in our deliverables reported within 30 days of launch at no extra charge. This doesn’t cover problems caused by changes made by others, third-party services or your hosting. You remain responsible for your own subscriptions to third-party platforms.

AI agents

AI systems can produce inaccurate or unexpected output. We design review, permission and logging controls appropriate to the agreed use. You remain responsible for deciding how the system is used, for reviewing its significant decisions and for meeting the legal obligations of your sector.

Blockchain

We provide software development only. We do not provide financial, investment, tax or legal advice, arrange investments, or hold client funds or private keys unless expressly agreed. Transactions on public networks can be irreversible. You are responsible for obtaining any regulatory approval your product needs, including under the financial promotion rules for cryptoassets.

Cybersecurity

We carry out security testing only within a written scope and after receiving written authorisation from someone entitled to give it, as required to comply with the Computer Misuse Act 1990. Testing can disrupt systems, despite reasonable precautions. No assessment can guarantee that a system is free of vulnerabilities.

E-book publishing

You confirm that you own or control the publishing rights to your work, and that it is original, lawful and doesn’t infringe the rights of others. Copyright in your manuscript stays with you. Retailers set their own content rules, review times and payment terms, and we cannot guarantee that a retailer will accept or keep listing a title.

Marketing, e-book marketing and paid advertising

We do not guarantee sales, rankings, reviews or a return on spend. Advertising platforms may reject adverts or change their rules. You are responsible for ensuring that claims about your products are accurate, and for approving campaigns before they run. We follow the CAP Code and consumer protection law. We will not create or buy fake reviews or endorsements.

9. Confidentiality

Each party will keep the other’s confidential information secure and use it only for the engagement. This doesn’t apply to information that is already public, was independently developed or must be disclosed by law. We will sign a separate non-disclosure agreement on request.

10. Data protection

Each party will comply with UK data protection law. Where we process personal data on your behalf, the terms required by Article 28 of the UK GDPR will apply, as described in our Data Protection Policy.

11. Our standard of work

We will provide services with reasonable care and skill and in line with the agreed scope. Except as stated in these terms or the Proposal, and to the extent the law allows, we do not guarantee any particular commercial outcome.

12. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited by law.

If you are a business customer: subject to the paragraph above, we are not liable for loss of profit, revenue, goodwill or data, or for indirect or consequential loss. Our total liability arising from an engagement is limited to the fees paid or payable for that engagement in the 12 months before the claim arose.

If you are a consumer: we are responsible for foreseeable loss caused by our breach of these terms or our failure to use reasonable care and skill. Nothing in these terms affects your legal rights, including those under the Consumer Rights Act 2015.

13. Cancellation, suspension and ending an engagement

Our Refund and Cancellation Policy forms part of these terms. Either party may end an engagement immediately by written notice if the other commits a serious breach and fails to put it right within 14 days of being asked. On termination, you pay for work done up to that date, and we will hand over completed work once those amounts are paid.

14. Events outside our control

Neither party is responsible for delay caused by events beyond its reasonable control. This doesn’t remove any obligation to pay for services that have been provided.

15. General

Neither party may transfer a contract without the other’s written consent, except that we may transfer it to a successor of our business. If any part of these terms is found unenforceable, the rest continue to apply. Nobody other than the parties has rights under a contract between us, under the Contract (Third Party Rights) (Scotland) Act 2017 or otherwise. Business customers agree that the Proposal and these terms are the entire agreement on their subject matter.

16. Governing law and disputes

These terms are governed by the law of Scotland. Business customers agree that the Scottish courts have exclusive jurisdiction. If you are a consumer, you keep the protection of the mandatory laws of the part of the UK where you live, and you may bring proceedings in your local courts. Please see our Complaints Procedure first.
